Termination of operation of branches, representative offices, business locations
a) Implementation order:
· When terminating operation of branches, representative offices, business locations, the company will send notice on the termination of operation of branches / offices / business locations to business registration office where the branches / offices / business locations located.
· Business registration office will receive the notice, check validity of documents and transfer the legal status of the branches, representative offices, business locations in the national database of enterprise registration to status of the termination of operation of branches / offices / business locations.
b) Implementation method: The company submits valid registration documents of termination of operation of branches, representative offices defined in the business registration office where the company has registered the head office or submit enterprise registration documents via internet.
c) Documents, including:
· Notice on the termination of operation of branches / offices / business locations;
· Decision of the company on the termination of operation of branches, representative offices including decisions of company owner for private company, the owner or chairman of Board of members or chairman of the company for one member limited liability company, of Board of members for limited liability company with two or more members, of Board of Directors of joint-stock company, of partnership members for partnership on the termination of operation of branches, representative offices or decision on revoking operation registration certificate of the branches, representative offices of competent agencies;
· List of creditors and unpaid debts, including tax debts of the branches and social insurance debts;
· List of employees and rights and benefits of the employees;
· Operation registration certificate of the branches, representative offices;
· Seals of the branches, representative offices (if any).
· Written request for supplement and update of operation registration information defined in Annex II-19 Circular No. 20/2015/TT-BKHDT (In case the branches, representative offices, business locations, which are directly under the company, are issued investment license, investment certificate or other documents with equivalent legal value);
· Valid copies of investment certificate and valid copies of tax registration certificate of the branches (In case the branches, representative offices, business locations, which are directly under the company, are issued investment license, investment certificate or other documents with equivalent legal value).
d) Number of documents: 01 set.
đ) Time limit for settlement: Within 05 (five) working days, after receipt of full valid documents.
e) Implementing agency: Business Registration Office - Department of Planning and Investment.
g) Subjects of administrative procedures: Individuals, organizations.
h) Results of administrative procedures: Notice on the termination of operation of branches/offices/business locations/Notice on amendment and supplement of enterprise registration documents.

· Notice on the termination of operation of branches, representative offices, business locations (Annex II-22, Circular No. 20/2015/TT-BKHDT);
· Written request for supplement and update of operation registration information for the branch/representative office/business location of the company operating under the Investment license, Investment certificate (Annex II-19, Circular No. 20/2015/TT-BKHDT) (In case the branches, representative offices, business locations, which are directly under the company, are issued investment license, investment certificate or other documents with equivalent legal value);
l) Requirements and conditions for procedure implementation: Clause 4, Article 206 of the Enterprise Law The company with the branch terminating operation is responsible for implementation of contracts, payment of debts, including tax debts of the branch and continuation of using employees or settlement of all legal rights for the employees working at the branch in accordance with the law.
m) Legal basis of administrative procedures:
· The Enterprise Law of the Assembly of the Socialist Republic of Vietnam No. 68/2014/QH13 dated 26/11/2014 (The Enterprise Law);
· Decree No. 78/2015/ND-CP dated 14/9/2015 of the Government on enterprise registration (Decree No. 78/2015/ND-CP);
· Circular No. 20/2015/TT-BKHDT dated 01/12/2015 of the Ministry of Planning and Investment guiding the enterprise registration (Circular No. 20/2015/TT-BKHDT);
