Notice on the seal (for private companies, limited liability companies, joint stock companies, partnerships)

a) Implementation order:                                                                                                                                                                                       

·                 Before use, change, cancellation of seal, change of the number of the seal of the company, the branch, representative office, the company sends a notice to the Business registration office where the company, the branch, the representative office registered its head office to publish notice on seal on the National Information Portal on enterprise registration. 

·                 Upon receiving notice on the seal of the company, the branch, representative office, the Business registration office issues the Receipt to the company, publishes notice on seal on the National Information Portal on enterprise registration.

·                 Where the company has been issued notice on the publication of information about the new seal of the company, the branch, representative office, the previous notices of information publication on the seal of the company, the branch, representative office are invalid.

b) Implementation method: The legal representative directly submits the Notice on the use of seal/ change of seal/ cancellation of seal of the company/the branch/representative office to the Business registration office at provincial level where the company registered its head office or via electronic network according to the procedures on the National Information Portal on enterprise registration.

c) Documents, including:

·        Notice on the use of seal/ the number of seal of the company/the branch/ representative office (Annex II-8, Circular No. 20/2015/TT-BKHDT);

·        Notice on the change of seal of the company/the branch/representative office (Annex II-9, Circular No. 20/2015/TT-BKHDT);

·        Notice on the cancellation of seal of the company /the branch/representative office (Annex II-10, Circular No. 20/2015/TT-BKHDT);

·        For company issued Investment license, Investment certificate or documents with the same validity, apart from the above documents, the company encloses: A valid copy of Investment certificate; A valid copy of Tax registration certificate; Request for supplement and update of the information on enterprise registration specified in Annex II-18 Circular No. 20/2015/TT-BKHDT;

·        For the branch/representative office operating under Investment certificate or documents with the same validity issued by investment registration agency, apart from the above documents, the company encloses: Request for supplement and update of operation registration information for the branch/representative office/business location of the company operating under Investment certificate/Investment license specified in Annex II-19 Circular No. 20/2015/TT-BKHDT; a valid copy of Investment certificate and a valid copy of Tax registration certificate of the branch..

d) Number of documents: 01 set.

đ) Time limit for settlement: Upon receiving notice on the seal of the company, the branch, representative office, the Business registration office issues the Receipt to the company, publishes notice on seal on the National Information Portal on enterprise registration.

e) Implementing agency: Business registration office – Department of Planning and Investment.

g) Subjects of administrative procedures: Individuals, organizations.

h) Results of administrative procedures: Notices on the use of seal/change of seal/cancellation of seal of the company/the branch/representative office published on the National Information Portal on enterprise registration.

l) Requirements and conditions for procedure implementation: Defined in Article 44 of the Enterprise Law and Article 34 of  Decree No. 78/2015/ND-CP.

·        The Enterprise Law of the Assembly of the Socialist Republic of Vietnam No. 68/2014/QH13 dated 26/11/2014 (The Enterprise Law);

·        Decree No. 78/2015/ND-CP dated 14/9/2015 of the Government on enterprise registration (Decree No. 78/2015/ND-CP);

·        Circular No. 20/2015/TT-BKHDT dated 01/12/2015 of the Ministry of Planning and Investment guiding the enterprise registration (Circular No. 20/2015/TT-BKHDT);

·        Decree No. 96/2015/ND-CP dated 19/10/2015 of the Government providing details of some articles of the Enterprise Law.
